Platform Accounts: Advertising accounts held by the user on platforms such as Meta (Facebook, Instagram), Google Ads, TikTok Ads, or others supported.

Ads Content: User-uploaded or AI-generated advertising materials, content, or data.

Billing Cycle: The recurring time interval (e.g., monthly or annually) during which service fees may be charged, once defined.

2. Eligibility and Account Responsibilities

You must be at least 18 years old and have valid accounts with supported advertising platforms to use our Services. You are responsible for securing your login credentials and for all activities conducted under your account, including those by Authorized Users. Unauthorized use of our Services, including scraping or data extraction, is strictly prohibited.

You agree that your use of our Services in connection with advertising platforms such as Meta, Google Ads, TikTok, or any other supported platform will at all times comply with the respective platform's terms of service, policies, and applicable laws.

3. Use of Services

We grant you a limited, non-exclusive, revocable license to access and use the Services for your business use only. You agree not to use the Services to create a competing product or service, and not to reproduce, distribute, or otherwise misuse any part of our platform.

Peak Agent AI does not guarantee uninterrupted access and reserves the right to limit or suspend services for maintenance, changes, or other operational reasons.

We aim to be startup-friendly and easy to work with. Our terms are designed to clarify your rights while keeping things flexible and reasonable as our product evolves.

4. AI Outputs and Disclaimers

Services may generate insights and recommendations using artificial intelligence. Outputs are based on algorithmic inference and may not always be accurate or complete. Final decisions on campaign actions remain the sole responsibility of Users.

Peak Agent AI is not liable for business outcomes or decisions based on AI-generated outputs, including but not limited to any copyright infringement or related claims that may arise from the use of AI-generated content.

5. Third-Party Dependencies

The functionality of our Services relies on APIs and data access provided by third-party platforms. We are not liable for:

• Changes, restrictions, or outages of Meta, Google, TikTok, or any third-party services
• Failures to synchronize, publish, or manage ads due to platform limitations

6. Intellectual Property Rights

All intellectual property related to Peak Agent AI's platform—including code, designs, trademarks, and materials—remains our sole property. You may not copy, modify, or redistribute our IP without written permission. You retain ownership of your Ads Content but grant us a limited, sub-licensable license to use it as necessary to provide Services.

Note that AI-generated outputs are subject to the disclaimers and limitations described in Section 4.

7. Data Collection and Privacy

We collect and process Personal Data in accordance with our Privacy Policy. By using our Services, you consent to such data practices. We may use cookies or similar technologies to enhance performance and analytics. We may use anonymized usage data for service improvement.

As part of delivering AI-generated insights, certain advertising data you submit through our platform may be processed using third-party large language models (LLMs). This may include campaign structure and performance metrics. No personally identifiable user data is included in this process unless explicitly required and disclosed. These models are used solely to provide recommendations and analysis as part of our Services.

8. Limitation of Liability

Peak Agent AI provides a platform for managing and optimizing advertising campaigns on various platforms. You are solely responsible for all risks associated with your advertising content. Peak Agent AI does not pre-screen content but reserves the right to review, reject, or remove content at our discretion.

Peak Agent AI is not liable for errors, losses, costs, or issues related to content or data transfers, including those arising from third-party system malfunctions.

The Services are provided "as is," and we expressly disclaim all warranties, whether express or implied. Peak Agent AI is not responsible for delays or failures due to unforeseen circumstances or events beyond our control. Our total liability is limited to the subscription fees you paid in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Peak Agent AI and its affiliates from any losses, damages, liabilities, or claims arising from your use of the Services, your Ads Content, or your breach of these Terms.

10. Termination

You may cancel your use of the Services at any time by contacting info@peakagent.ai. We may suspend or terminate your access immediately for violation of these Terms or applicable law. Upon termination, your access and data may be deleted without further notice.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. You agree not to bring any collective or representative claim or to participate in any collective action against us in relation to these Terms.

12. Service Changes

We may modify or discontinue parts of the Services at any time. Advance notice will be provided when possible.

13. Changes to Terms

We reserve the right to update these Terms. We will notify you of material changes via email. Continued use after changes constitutes acceptance. The latest version will always be available on our Website.

14. Severability

If any provision is found unenforceable, the remainder will remain in full force and effect.
